MASTER PLATFORM AGREEMENT.

LEGAL STATUS, PLACE OF ESTABLISHMENT & GHANA COMPLIANCE
AfroBookings is a business duly organized, registered, and operating under the laws of the Republic of Ghana, with its principal place of business in Ghana.
This Agreement, all Platform operations, and all services offered by AfroBookings are administered from Ghana unless expressly stated otherwise. The use of international technology infrastructure, cloud hosting services, payment processors, or third-party service providers located outside Ghana does not alter AfroBookings’ place of establishment, registration, or primary operational jurisdiction.
AfroBookings processes personal data in compliance with:
The Ghana Data Protection Act, 2012 (Act 843)
Applicable regulations, directives, and guidance issued by the Ghana Data Protection Commission
International best practices and applicable foreign laws, including the EU General Data Protection Regulation (GDPR), the UK GDPR, and relevant United States privacy and consumer protection laws, where applicable
Where personal data is hosted, stored, or transferred outside Ghana, such transfers are conducted lawfully and subject to appropriate contractual, technical, and organizational safeguards designed to protect personal data and prevent unauthorized access.
In the event of any conflict or inconsistency between this section and any other provision of this Agreement, this section shall prevail to the maximum extent permitted by law.
1. DEFINITIONS & INTERPRETATION
1.1 Definitions
For the purposes of this Agreement, the following terms shall have the meanings set out below:
“AfroBookings” means the AfroBookings platform, its owners, operators, affiliates, subsidiaries, directors, officers, employees, agents, contractors, and permitted assigns.
“Platform” means www.afrobookings.com, including all subdomains, mobile applications, dashboards, APIs, booking engines, payment links, communication tools, and related digital services.
“User” means any individual or entity that accesses, browses, registers, books, pays, or otherwise uses the Platform, whether as a traveler, customer, guest, or visitor.
“Vendor” means any hotel, tour operator, transport provider, event organizer, rental provider, visa consultant, or other service provider listing or delivering services through the Platform.
“Service” means any travel-related product or offering made available through the Platform, whether operated directly by AfroBookings or by a Vendor.
“Booking” means a confirmed reservation, purchase, or transaction made through the Platform.
“Third-Party Provider” means any external service provider not owned or controlled by AfroBookings, including payment processors, airlines, analytics providers, cloud hosting providers, or Vendors.
“Payment Processor” means a licensed third-party entity that processes payments on behalf of Users and Vendors.
“Personal Data” has the meaning given under applicable data protection laws, including GDPR, UK GDPR, and US privacy laws.
“Force Majeure Event” means any event beyond reasonable control, including but not limited to pandemics, border closures, government actions, strikes, natural disasters, war, terrorism, or infrastructure failure.
1.2 Interpretation Rules
Unless the context otherwise requires:
Words in the singular include the plural and vice versa
Headings are for convenience only and do not affect interpretation
References to laws include amendments and replacements
“Including” means “including without limitation”
This Agreement applies globally, regardless of User or Vendor location
If any ambiguity arises, the interpretation most protective of AfroBookings shall prevail to the maximum extent permitted by law.
1.3 Entire Agreement Hierarchy
This Agreement:
Supersedes all prior terms, policies, or understandings
Applies to all current and future services
Is supplemented only by written addenda issued by AfroBookings
1.4 Electronic Acceptance
By using the Platform, you agree that:
This Agreement is legally binding without physical signature
Electronic acceptance constitutes valid consent
Continued use after updates constitutes acceptance
1.5 Reservation of Rights
All rights not expressly granted are reserved by AfroBookings.
2. PLATFORM ROLE, AGENCY LIMITATIONS & NO FIDUCIARY DUTY.
2.1 Platform as Technology Provider and Marketplace
AfroBookings operates primarily as a technology-enabled marketplace and booking platform that facilitates the discovery, marketing, reservation, and, where applicable, payment for travel-related services offered either directly by AfroBookings or by independent third-party Vendors.
Except where expressly stated otherwise in writing, AfroBookings does not:
Own, control, manage, or operate third-party Vendor services
Supervise day-to-day Vendor operations
Act as an insurer or guarantor of Vendor performance
Users acknowledge that AfroBookings’ role may vary by Service and that each Booking confirmation expressly identifies whether AfroBookings is acting as a principal service provider or as an intermediary.
2.2 No Partnership, Employment, or Joint Venture
Nothing in this Agreement shall be construed as creating:
A partnership
A joint venture
A franchise
An employment relationship
A fiduciary relationship
Between AfroBookings and any User or Vendor.
Vendors operate as independent contractors and have no authority to bind AfroBookings, represent AfroBookings, or incur obligations on AfroBookings’ behalf.
2.3 No Fiduciary Duty
To the maximum extent permitted by law:
AfroBookings owes no fiduciary duty to Users or Vendors
AfroBookings does not act as a trustee, escrow agent, or financial custodian
AfroBookings does not assume responsibility for safeguarding Vendor business interests beyond contractual obligations expressly stated herein.
Users and Vendors acknowledge that AfroBookings’ interests may differ from or conflict with those of Users or Vendors, including commercial prioritization, pricing strategies, and platform ranking.
2.4 Limited Agency (Where Applicable)
Where AfroBookings acts as a booking agent:
AfroBookings acts solely as an intermediary between the User and the Vendor
The Vendor remains fully responsible for service delivery
AfroBookings’ authority is limited to facilitating bookings, communications, and payments
AfroBookings does not assume responsibility for Vendor acts, omissions, negligence, or failure to perform.
2.5 No Guarantee of Availability or Continuity
AfroBookings does not guarantee that:
Any Service will remain available
Any Vendor will continue operating
Any pricing, promotion, or listing will remain unchanged
Services may be withdrawn, modified, or suspended without prior notice.
2.6 User Acknowledgement of Marketplace Risk
Users expressly acknowledge that:
Travel services involve third-party providers
AfroBookings cannot control Vendor conduct in real time
Disputes may arise despite vetting or verification
Users agree that AfroBookings’ liability is limited strictly as set out in this Agreement.
3. USER ACCOUNTS, IDENTITY, FRAUD & MISUSE
3.1 Account Registration
To access certain Platform features, Users may be required to create an account. Users agree to:
Provide true, accurate, current, and complete information
Update information promptly if it changes
Maintain one account per individual or entity unless expressly permitted
AfroBookings reserves the right to refuse, suspend, or terminate any account at its sole discretion.
3.2 Identity Verification
AfroBookings may, directly or through third-party providers:
Request identity documents
Conduct fraud, sanctions, or risk checks
Verify email addresses, phone numbers, or payment methods
Failure or refusal to comply may result in account suspension or termination.
3.3 Prohibited Activities
Users shall not, directly or indirectly:
Make fraudulent or speculative bookings
Abuse refunds, chargebacks, or promotions
Circumvent the Platform to transact off-platform
Harass Vendors, staff, or other Users
Scrape, copy, or reverse-engineer Platform data
Upload false, misleading, or illegal content
Use the Platform for unlawful or abusive purposes
3.4 Chargeback Abuse & Financial Misconduct
AfroBookings may take corrective action where a User:
Initiates unjustified chargebacks
Reverses payments after consuming services
Engages in payment disputes in bad faith
Corrective actions may include:
Account suspension or termination
Cancellation of future bookings
Recovery of losses
Permanent platform bans
3.5 Responsibility for Devices & Security
Users are solely responsible for:
Securing their devices
Preventing unauthorized access
Any activity conducted through their account
AfroBookings shall not be liable for losses arising from compromised credentials.
4. VENDOR ONBOARDING, VERIFICATION & PLATFORM ENFORCEMENT
4.1 Vendor Registration & Eligibility
Any entity seeking to list or deliver services on the Platform (“Vendor”) must:
Be a legally registered business or authorized operator
Hold all required licenses, permits, approvals, and insurance
Have lawful authority to offer the listed Services
Comply with all applicable local, national, and international laws
AfroBookings reserves the right to reject or delay Vendor onboarding without obligation to provide reasons.
4.2 Verification, Due Diligence & Ongoing Monitoring
AfroBookings may, at onboarding or at any time thereafter:
Request corporate documents, licenses, or insurance certificates
Perform background, sanctions, reputational, or compliance checks
Require proof of operational capacity or safety standards
Monitor reviews, complaints, service delivery, and performance metrics
Verification does not constitute endorsement, warranty, or guarantee of Vendor performance.
4.3 Accuracy of Listings & Representations
Vendors are solely responsible for ensuring that all listings, pricing, descriptions, images, itineraries, availability, and representations are:
Accurate, complete, and up to date
Not misleading, deceptive, or unlawful
Consistent with actual service delivery
AfroBookings may modify, suspend, or remove listings that are inaccurate or harmful to user trust.
4.4 Service Standards & Quality Control
Vendors must:
Deliver services in a professional, safe, and lawful manner
Maintain standards consistent with representations made on the Platform
Ensure staff, guides, drivers, or agents are properly trained and authorized
AfroBookings may intervene to protect Users where service quality is compromised.
4.5 Audits, Investigations & Corrective Actions
AfroBookings reserves the right to:
Conduct audits or investigations
Temporarily suspend listings or payouts
Require corrective action plans
Impose performance restrictions
Permanently delist or blacklist Vendors
Such actions may be taken with or without prior notice where user safety, legal compliance, or platform integrity is at risk.
4.6 Ranking, Visibility & Commercial Discretion
Vendors acknowledge that:
Listing order, visibility, and promotion are determined by AfroBookings’ proprietary algorithms and commercial discretion
Factors may include pricing, availability, performance, reviews, bundling, or strategic considerations
AfroBookings has no obligation to maintain any specific ranking or exposure
No Vendor is entitled to compensation for reduced visibility.
4.7 Vendor Suspension & Termination
AfroBookings may suspend or terminate Vendor access immediately where:
Legal or regulatory violations occur
Fraud, misrepresentation, or negligence is identified
User safety or reputation is threatened
Payment disputes or chargebacks arise
Termination does not affect accrued rights, indemnities, or outstanding obligations.
5. BOOKINGS, DEPOSITS, PAYMENTS & FINANCIAL FLOW
5.1 Booking Formation
A Booking is formed only when:
Payment (full or partial) is successfully processed
Confirmation is issued by AfroBookings or the user or Vendor
Availability is verified
AfroBookings reserves the right to cancel unconfirmed or erroneous bookings.
5.2 Deposits & Staged Payments
Certain Services require deposits to secure:
Limited availability
Seats, permits, accommodations, or guides
Deposits:
Are applied toward the total booking value
May be non-refundable as specified
Do not guarantee service delivery where Vendors fail or force majeure applies
5.3 Payment Collection Models
Payments may be collected by:
AfroBookings on behalf of Vendors
Vendors directly via Platform-approved payment flows
Third-party payment processors
AfroBookings does not act as a bank, escrow provider, or financial custodian.
5.4 Currency, Taxes & Fees
Users acknowledge that:
Prices may be displayed in different currencies
FX rates fluctuate and may affect final amounts
Taxes, levies, gateway fees, and bank charges may apply
AfroBookings is not responsible for losses arising from currency fluctuations.
5.5 Vendor Payouts & Settlement Cycles
Vendor payouts:
Follow Platform-defined settlement schedules
May be delayed due to disputes, investigations, or chargebacks
May be offset against refunds, penalties, or liabilities
AfroBookings may withhold payouts to mitigate financial risk.
CHARGEBACKS, PAYMENT REVERSALS & FINANCIAL RISK ALLOCATION
6.1 Definition of Chargebacks & Payment Disputes
A Chargeback includes any reversal, dispute, recall, refund demand, or payment clawback initiated by:
A User
A bank or card issuer
A payment processor
A regulatory authority
Chargebacks may arise from alleged fraud, dissatisfaction, non-delivery, or unauthorized transactions.
6.2 Allocation of Chargeback Risk
Users acknowledge that:
Chargebacks disrupt Vendor settlements and platform operations
AfroBookings incurs administrative, processing, and compliance costs
Unless required by law, chargeback-related losses are borne by the party whose conduct caused the dispute, including Users or Vendors.
6.3 AfroBookings’ Rights in Chargeback Situations
AfroBookings reserves the right to:
Temporarily or permanently withhold Vendor payouts
Reverse or cancel Bookings
Recover losses, fees, and penalties
Offset amounts against future payouts or credits
Suspend or terminate accounts
These rights apply even after service delivery.
6.4 Fraud Investigations
AfroBookings may investigate suspected fraud, including:
Multiple chargebacks
Identity mismatches
Suspicious booking behavior
Abuse of promotions or refunds
During investigations, AfroBookings may suspend accounts, block payouts, or freeze transactions.
6.5 Recovery of Losses
Where AfroBookings incurs losses due to:
Fraud
Misrepresentation
Chargeback abuse
Vendor non-performance
AfroBookings may recover such losses directly from the responsible party, including through:
Deduction from future earnings
Legal recovery
Debt collection
7. CANCELLATION, REFUND & MODIFICATION POLICIES
7.1 General Cancellation Principles
Cancellation and refund eligibility depend on:
Service type
Timing of cancellation
Vendor policies
Operational costs already incurred
No refunds are guaranteed unless expressly stated.
7.2 Deposits
Deposits secure capacity, permits, guides, and accommodations and are often irreversible once committed.
Standard Deposit Rule (Unless Otherwise Stated):
Cancellation within 10 calendar days → Refund minus bank charges and USD 50 administrative fee
Cancellation after 10 calendar days → Deposit is non-refundable
7.3 Full Payment Cancellations
Unless stated otherwise on the Service page:
30+ days before start date → Refund minus fees
15–29 days → Partial refund depending on supplier commitments
7–14 days → Limited refund, credit, or rescheduling at AfroBookings’ discretion
Less than 7 days / no-show / early departure → No refund
7.4 Third-Party & Supplier Policies
Where Services are operated by third parties:
Their cancellation rules are binding
AfroBookings is not obligated to override supplier policies
7.5 Credits & Rescheduling
AfroBookings may, at its discretion:
Issue platform credits
Allow rescheduling
Apply partial refunds
Credits may:
Be non-transferable
Have expiration dates
Be subject to restrictions
7.6 Administrative & Non-Refundable Costs
Refunds exclude:
Bank fees
FX losses
Payment gateway charges
Government fees
Visa processing costs
8. SERVICE-SPECIFIC DISCLAIMERS
Users acknowledge that different categories of travel services carry different risks, operational dependencies, and legal frameworks. AfroBookings expressly disclaims liability beyond what is mandated by law and beyond the limitations set out in this Agreement.
8.1 Tours, Excursions & Experiences
Tours and experiences may involve:
Physical activity
Outdoor conditions
Cultural, wildlife, or environmental exposure
Transportation by third parties
Users acknowledge and accept that:
Itineraries may change due to weather, safety, or logistics
Guides or vehicles may be substituted
Participation is at the User’s own risk
AfroBookings is not liable for injury, loss, or damage arising from participation unless required by law.
8.2 Hotels, Lodging & Accommodation
AfroBookings does not own or control third-party accommodations.
AfroBookings is not responsible for:
Room allocation disputes
Service quality discrepancies
Overbooking by accommodation providers
Property-specific policies or conduct
Accommodation standards are the responsibility of the Vendor.
8.3 Flights & Air Travel
AfroBookings acts solely as an intermediary for flight bookings provided by third-party airlines or consolidators.
Users acknowledge that:
Airlines control schedules, cancellations, delays, baggage rules, and refunds
Airline terms and conditions govern the contract of carriage
AfroBookings bears no liability for airline actions or disruptions.
8.4 Transport, Transfers & Car Rentals
Transport services may involve third-party drivers, vehicles, or fleets.
AfroBookings is not responsible for:
Traffic delays
Mechanical issues
Driver conduct
Accidents or third-party claims
Vehicle standards, insurance, and compliance are the responsibility of the Vendor.
8.5 Events, Festivals & Conferences
Event access depends on:
Venue capacity
Security requirements
Organizer policies
AfroBookings is not liable for:
Event cancellations or postponements
Artist or speaker changes
Crowd management decisions
8.6 Visa Consultancy & Immigration Services
AfroBookings provides visa advisory and facilitation services only.
Users acknowledge that:
Immigration decisions are made solely by government authorities
Visa outcomes are not guaranteed
Fees are non-refundable once processing begins
AfroBookings is not responsible for visa refusals, delays, or policy changes.
9A.1 Nature of Visa & Immigration Services
AfroBookings provides visa consultancy, advisory, facilitation, and administrative support services only, including assistance with documentation guidance, application preparation, submission coordination, appointment support, and follow-ups for visa, e-visa, and visa-on-arrival programs, including but not limited to Ghana E-Visa and Ghana Visa on Arrival.
AfroBookings is not an embassy, consulate, immigration authority, or government agency, and does not issue visas, grant entry permissions, approve applications, or influence immigration decisions in any manner.
9A.2 No Guarantee of Visa Approval or Entry
Users expressly acknowledge and agree that:
All visa and immigration decisions are made solely by the relevant government authorities
Visa approval, processing time, validity period, and conditions of use are not guaranteed
Possession of a visa, e-visa, or approval letter does not guarantee entry at any port of entry
AfroBookings makes no representations, warranties, or assurances regarding visa outcomes or border entry decisions.
9A.3 Applicant Responsibility for Eligibility & Accuracy
Applicants are solely responsible for:
Determining their eligibility for any visa or immigration program
Providing accurate, complete, truthful, and up-to-date information
Submitting valid and genuine documents
Ensuring passport validity, travel history accuracy, and compliance with immigration rules
AfroBookings shall not be liable for visa refusal, delay, cancellation, or entry denial resulting from:
Incorrect, incomplete, misleading, or inconsistent information
Prior immigration violations or overstays
Criminal records or security flags
Passport damage, expiration, or document defects
9A.4 Processing Timelines & Government Dependency
Visa and e-visa processing timelines:
Are estimates only
Depend entirely on government systems, staffing, security checks, and internal procedures
May be affected by public holidays, system outages, policy changes, strikes, or backlogs
AfroBookings does not control and is not responsible for processing delays, suspensions, or changes imposed by immigration authorities.
9A.5 Ghana E-Visa & Visa on Arrival (Specific Disclaimer)
For Ghana E-Visa and Ghana Visa on Arrival services:
Approval is granted solely at the discretion of Ghanaian immigration authorities
Additional documentation may be requested at any stage
Immigration officers retain absolute discretion at ports of entry
AfroBookings’ role is limited strictly to consultation, facilitation, and administrative coordination.
9A.6 Consultancy, Handling & Service Fees
AfroBookings charges consultation, facilitation, handling, or administrative service fees for visa-related services.
Unless expressly stated otherwise in writing:
Such fees become non-refundable once processing has commenced
Fees cover professional time, coordination, documentation review, and submission support
Fees are payable regardless of the final outcome of the application
9A.6A Government & Official Fees
In addition to AfroBookings’ consultancy, facilitation, and handling fees, all official fees, levies, or charges imposed by government authorities, embassies, consulates, or immigration agencies in connection with any visa, e-visa, or visa-on-arrival application shall be borne solely by the applicant.
Such official fees:
Are determined exclusively by the relevant government authority
May change at any time without notice
Are not set, controlled, or influenced by AfroBookings
Are non-refundable once paid, irrespective of the outcome of the application
AfroBookings shall not be liable for any increase, adjustment, loss, or non-refund of government-imposed fees.
9A.7 Non-Refundable Charges & Exclusions
Refunds shall not be issued for:
Visa refusals or rejections
Processing delays
Missed travel dates
Policy changes by authorities
Entry denial at borders
Applicant withdrawal after processing begins
This applies to both AfroBookings service fees and government fees (where applicable).
9A.8 Document Handling & Data Protection
Visa applications may require submission of sensitive personal documents, including but not limited to:
Passports
Photographs
Travel itineraries
Identification or supporting documents
All documents are processed in accordance with:
Ghana Data Protection Act, 2012 (Act 843)
GDPR / UK GDPR, where applicable
Documents may be shared with:
Government authorities
Authorized visa processing partners
Relevant service providers strictly for processing purposes
9A.9 Third-Party & Government System Failures
AfroBookings shall not be liable for losses arising from:
Government system outages
Embassy or consulate closures
Policy or rule changes
Technical failures of immigration platforms
Errors or omissions by government authorities
9A.10 No Legal or Immigration Representation
AfroBookings does not provide legal advice, immigration representation, or advocacy services.
Applicants are encouraged to consult licensed immigration lawyers or accredited professionals where legal advice is required.
9A.11 Limitation of Liability (Visa Services)
To the maximum extent permitted by law:
AfroBookings’ total liability relating to visa or e-visa services is limited to the amount paid for AfroBookings’ consultancy or handling services only
AfroBookings shall not be liable for indirect, consequential, or incidental losses, including travel disruptions, accommodation losses, or emotional distress
9A.12 Force Majeure & Immigration Disruptions
Visa and immigration services may be affected by events beyond reasonable control, including:
Pandemics
Border closures
Security alerts
Government directives
Such events constitute Force Majeure under this Agreement.
9A.13 Acceptance of Visa Terms
By purchasing, requesting, or using any visa or e-visa related service through AfroBookings, the applicant expressly acknowledges, understands, and agrees to all terms, limitations, disclaimers, and responsibilities set out in this Part 9A.
9. USER CONDUCT & PLATFORM INTEGRITY
9.1 Acceptable Use
Users agree to use the Platform lawfully, respectfully, and in good faith.
9.2 Prohibited Conduct
Users shall not:
Circumvent the Platform to transact directly with Vendors
Solicit off-platform payments or discounts
Manipulate reviews, ratings, or feedback
Harass or threaten Vendors, staff, or other Users
Use bots, scraping tools, or automation
Misrepresent identity or intent
Engage in unlawful or abusive behavior
9.3 Consequences of Breach
AfroBookings may, at its discretion:
Suspend or terminate accounts
Cancel bookings
Withhold refunds or credits
Recover losses
Permanently ban Users
Such actions may be taken without prior notice where Platform integrity or safety is at risk.
9.4 Circumvention Damages
Users who circumvent the Platform after introduction to a Vendor may be liable for:
Lost commissions
Administrative fees
Platform damages
AfroBookings reserves the right to pursue legal remedies.
10.REVIEWS, RATINGS & CONTENT MODERATION
10.1 User Reviews & Ratings
Users may submit reviews, ratings, comments, photos, videos, or other feedback (“User Content”) relating to Services, Vendors, or experiences.
Users acknowledge that:
Reviews reflect personal opinions
AfroBookings does not verify the accuracy of reviews
Reviews do not constitute endorsements or guarantees
10.2 Review Guidelines
User Content must:
Be truthful and based on genuine experiences
Not be defamatory, abusive, misleading, or unlawful
Not contain hate speech, harassment, or threats
Not include promotional, spam, or irrelevant material
AfroBookings reserves the right to remove or edit User Content that violates these rules.
10.3 No Obligation to Publish or Retain Content
AfroBookings has no obligation to publish, display, retain, or maintain any review or User Content and may remove content at any time, with or without notice.
10.4 Content Moderation & Enforcement
AfroBookings may:
Monitor User Content
Remove or restrict access to content
Suspend or terminate accounts associated with abusive or fraudulent content
AfroBookings is not liable for User Content posted by third parties.
10.5 License to Use User Content
By submitting User Content, Users grant AfroBookings a perpetual, irrevocable, worldwide, royalty-free, transferable license to:
Use
Display
Reproduce
Modify
Distribute
Create derivative works
For marketing, promotional, operational, analytical, and commercial purposes, without compensation.
10.6 Feedback Ownership
Any feedback, suggestions, or ideas submitted to AfroBookings become the exclusive property of AfroBookings, and AfroBookings may use them without restriction or obligation.
11. INTELLECTUAL PROPERTY & PLATFORM RIGHTS
11.1 Platform Ownership
All rights, title, and interest in and to the Platform, including but not limited to:
Software
User interfaces
Algorithms
Databases
Designs
Branding
Trademarks
Domain names
Are owned exclusively by AfroBookings or its licensors.
11.2 Limited License to Users
AfroBookings grants Users a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for personal or authorized business use.
This license may be revoked at any time.
11.3 Prohibited IP Use
Users and Vendors shall not:
Copy, scrape, or reproduce Platform content
Reverse-engineer or decompile software
Use AfroBookings branding without permission
Create derivative platforms or competing services using Platform data
11.4 Vendor Content License
Vendors grant AfroBookings a non-exclusive, worldwide, royalty-free license to use Vendor content (images, descriptions, logos, videos) for Platform operations and marketing.
11.5 IP Infringement Claims
AfroBookings may remove content alleged to infringe intellectual property rights and suspend repeat infringers.
12. DATA PROTECTION, PRIVACY & INFORMATION GOVERNANCE.
12.1 Scope & Purpose of Data Protection
This section governs how AfroBookings collects, uses, stores, processes, transfers, discloses, and protects personal data across all Platform services, whether accessed by Users, Vendors, partners, or third parties.
AfroBookings is committed to protecting privacy, maintaining data security, and complying with applicable data protection laws in all jurisdictions in which it operates or from which data subjects access the Platform.

AfroBookings processes personal data in accordance with, including but not limited to:
Ghana Data Protection Act, 2012 (Act 843)
EU General Data Protection Regulation (GDPR)
UK GDPR and Data Protection Act 2018

Where multiple laws apply, AfroBookings applies the highest applicable standard to the extent legally required.

12.5 Legal Bases for Processing
AfroBookings processes personal data based on one or more of the following lawful grounds:
Performance of a contract (e.g., bookings, service delivery)
Compliance with legal obligations
Legitimate business interests (fraud prevention, security, analytics)
User consent, where required
Protection of vital interests or public interest obligations
12.6 Purpose Limitation & Data Minimization

Limited to what is necessary and proportionate

One or more member states of the European Union
AfroBookings does not guarantee that data will be stored exclusively in any single jurisdiction.

Where personal data is transferred outside Ghana or the User’s country of residence, AfroBookings ensures that such transfers are:
Lawful under applicable data protection laws
Protected by appropriate contractual safeguards
Secured using technical and organizational security measures
By using the Platform, Users and Vendors acknowledge and consent to such cross-border transfers.
12.9 Data Security Measures
AfroBookings implements industry-standard safeguards, including:
Encryption in transit and at rest (where applicable)
Access controls and authentication protocols
Role-based access limitations
Monitoring and logging of system activity
Regular security assessments
However, no system is completely secure, and AfroBookings does not guarantee absolute security.
12.10 Data Retention

Fulfill contractual obligations
Comply with legal and regulatory requirements
Resolve disputes
Enforce agreements
Retention periods vary depending on data type and legal obligations.
12.11 User Rights
Subject to applicable law, Users may request:

12.13 Data Breach Limitation & Notification
AfroBookings will take reasonable steps to address personal data breaches. To the maximum extent permitted by law:

Users may receive transactional or service-related communications.

13. PAYMENT PROCESSING, CARD DATA & FINANCIAL SECURITY
13.1 Use of Licensed Third-Party Payment Providers
All payments made through the Platform are processed exclusively by licensed third-party payment service providers (“Payment Processors”).
AfroBookings:
Is not a bank, financial institution, or money services business
Does not operate as a payment processor
Does not issue cards, wallets, or stored-value instruments
13.2 No Storage or Processing of Card Data
At no time does AfroBookings:
Store full debit or credit card numbers
Store CVV, PIN, or magnetic stripe data
Process sensitive card data on its own servers
All card details are entered directly on the secure systems of the Payment Processor and handled in accordance with PCI-DSS (Payment Card Industry Data Security Standard) requirements.
13.3 Limited Transaction Information
AfroBookings may receive and store non-sensitive transaction metadata, such as:
Payment confirmation status
Transaction reference numbers
Amount paid and currency
Timestamp of payment
Such data is used solely for:
Booking confirmation
Customer support
Accounting and reconciliation
Fraud monitoring
13.4 Payment Security Disclaimer
AfroBookings shall not be liable for:
Security breaches
Fraud
Unauthorized access
Payment failures
Occurring within third-party Payment Processor systems, except where liability cannot be excluded by law.
13.5 Compliance with Anti-Fraud & AML Controls
AfroBookings may implement measures to:
Detect suspicious transactions
Prevent fraud or abuse
Comply with regulatory or processor requirements
Transactions may be delayed, reversed, or blocked where risk is identified.
14. ASSUMPTION OF RISK & WAIVER OF CLAIMS
14.1 Acknowledgement of Travel Risks
Users acknowledge that travel and related services inherently involve risks, including but not limited to:
Accidents or injuries
Health risks or illness
Crime or civil unrest
Transportation delays or cancellations
Weather-related disruptions
Government or border actions
Users voluntarily assume all such risks.
14.2 Waiver of Certain Claims
To the maximum extent permitted by law, Users waive claims against AfroBookings for:
Loss of enjoyment
Emotional distress
Missed connections
Consequential or indirect damages
14.3 No Insurance Undertaking
AfroBookings does not provide travel insurance unless expressly stated.
Users are strongly encouraged to obtain comprehensive travel insurance.
14.4 Third-Party Acts & Omissions
AfroBookings is not responsible for acts or omissions of:
Vendors
Airlines
Hotels
Transport providers
Government authorities
Other third parties
15. LIMITATION OF LIABILITY
15.1 General Limitation
To the maximum extent permitted by applicable law, AfroBookings’ total aggregate liability arising out of or in connection with this Agreement, any Service, or any Booking whether based on contract, tort (including negligence), strict liability, statute, or otherwise shall not exceed the total amount actually paid by the User to AfroBookings for the specific Booking giving rise to the claim.
This limitation applies regardless of whether AfroBookings is acting as:
A principal service provider
A booking agent or intermediary
A technology platform provider
15.2 Excluded Categories of Damages
To the fullest extent permitted by law, AfroBookings shall not be liable for any:
Indirect or consequential damages
Loss of enjoyment or holiday disappointment
Emotional distress or mental anguish
Loss of business, revenue, profit, or opportunity
Reputational harm
Data loss or corruption
Punitive or exemplary damages
Even if AfroBookings has been advised of the possibility of such damages.
15.3 Service-Specific Liability Caps
Where AfroBookings acts solely as an intermediary for third-party services, AfroBookings’ liability is further limited to:
The facilitation of the booking only
Reasonable assistance with dispute resolution
AfroBookings does not assume the liabilities of Vendors, airlines, transport providers, or other third parties.
15.4 Multiple Claims
Multiple claims arising from the same event, transaction, or series of related events shall be treated as one claim for the purposes of liability limits.
15.5 Jurisdictional Adjustments
Where certain limitations are not permitted under mandatory local law, AfroBookings’ liability shall be limited to the minimum extent permitted under such law.
16. INDEMNIFICATION & HOLD HARMLESS
16.1 User Indemnification
Users agree to indemnify, defend, and hold harmless AfroBookings, its directors, officers, employees, agents, affiliates, and partners from and against any claims, losses, damages, liabilities, costs, or expenses (including legal fees) arising from:
Breach of this Agreement
Misuse of the Platform
Fraudulent, unlawful, or abusive conduct
Violation of applicable laws or third-party rights
Disputes with Vendors or third parties
16.2 Vendor Indemnification
Vendors agree to indemnify, defend, and hold harmless AfroBookings from claims arising from:
Service failures or non-performance
Misrepresentation or inaccurate listings
Regulatory or licensing violations
Guest injury, death, loss, or property damage
Employment, subcontractor, or tax disputes
Intellectual property infringement
This obligation survives termination of this Agreement.
16.3 Indemnification Procedure
AfroBookings may:
Assume control of the defense
Select legal counsel
Settle claims where commercially reasonable
Indemnifying parties must cooperate fully.
17. FORCE MAJEURE & EXTERNAL EVENTS
17.1 Definition of Force Majeure Events
A Force Majeure Event includes any event or circumstance beyond reasonable control, including but not limited to:
Pandemics, epidemics, or public health emergencies
Border closures, visa suspensions, or travel bans
Government actions, regulations, or directives
War, terrorism, civil unrest, or political instability
Natural disasters (floods, earthquakes, storms)
Labor strikes, transportation shutdowns, or fuel shortages
Infrastructure or utility failures
Acts of God or similar unforeseeable events
17.2 Effect of Force Majeure
Where a Force Majeure Event occurs:
AfroBookings and/or Vendors may suspend, delay, modify, or cancel affected Services
Obligations may be postponed without liability
Refunds, credits, or rescheduling may be offered at AfroBookings’ discretion, subject to supplier constraints
AfroBookings shall not be liable for losses arising from Force Majeure Events.
17.3 Government & Regulatory Actions
AfroBookings is not responsible for losses arising from:
Immigration decisions
Visa refusals
Government advisories
Regulatory changes
Enforcement actions
Users remain responsible for compliance with all applicable laws.
17.4 Continuation or Termination
If a Force Majeure Event persists, AfroBookings may permanently terminate affected Services without further obligation.
18. SUSPENSION, TERMINATION & PLATFORM CONTINUITY
18.1 Suspension or Termination by AfroBookings
AfroBookings may, at its sole discretion and without liability:
Suspend or terminate User accounts
Remove Vendor listings
Restrict access to Platform features
Withhold payouts pending investigation
Reasons may include fraud, misuse, legal risk, or reputational harm.
18.2 Termination by Users or Vendors
Users or Vendors may discontinue use of the Platform at any time, subject to:
Outstanding obligations
Non-refundable fees
Pending disputes
Termination does not entitle Users or Vendors to refunds unless required by law.
18.3 Effect of Termination
Upon termination:
Access rights cease immediately
Bookings already in progress may continue under existing terms
AfroBookings may retain data as legally required
18.4 Survival of Clauses
The following provisions survive termination:
Limitation of liability
Indemnification
Data protection
Payment obligations
Governing law & dispute resolution
Intellectual property
19. DISPUTE RESOLUTION & CLAIMS MANAGEMENT
19.1 Mandatory Good-Faith Resolution
Before initiating any formal legal action, Users and Vendors agree to first attempt to resolve disputes in good faith by contacting AfroBookings through its designated support or legal channels.
AfroBookings shall be given a reasonable opportunity to investigate and respond.
19.2 Claims Notice Requirement
Any claim arising out of or relating to this Agreement, a Service, or a Booking must be submitted in writing within thirty (30) calendar days of the event giving rise to the claim.
Failure to provide timely notice may result in the claim being barred to the maximum extent permitted by law.
19.3 Evidence & Documentation
Claims must be supported by reasonable evidence, including:
Booking confirmations
Receipts or payment records
Communications or correspondence
Photos, videos, or official reports where applicable
AfroBookings may reject unsupported or speculative claims.
19.4 Limitation on Actions
To the extent permitted by law, any legal action must be commenced within one (1) year of the date the cause of action arose, failing which the claim shall be permanently barred.
19.5 No Class or Representative Actions
To the maximum extent permitted by law:
Claims must be brought individually
Users and Vendors waive the right to participate in class actions, collective actions, or representative proceedings
19.6 Costs & Fees
Each party bears its own legal costs unless otherwise ordered by a court or agreed in writing.
20. GOVERNING LAW & JURISDICTION
20.1 Governing Law
This Agreement, and any dispute or claim arising from or relating to it, is governed exclusively by the laws of the Republic of Ghana, without regard to conflict-of-laws principles.
20.2 Jurisdiction & Venue
Subject to applicable law, the courts of the Republic of Ghana shall have exclusive jurisdiction over all disputes arising out of or in connection with this Agreement.
Users and Vendors irrevocably submit to such jurisdiction and waive objections based on forum non conveniens.
21. ASSIGNMENT & CORPORATE TRANSACTIONS
21.1 Assignment by AfroBookings
AfroBookings may assign, transfer, novate, or delegate this Agreement, in whole or in part, without notice or consent, including in connection with:
Mergers
Acquisitions
Corporate restructuring
Asset sales
Investment transactions
Such assignment shall not reduce User or Vendor rights required by law.
21.2 No Assignment by Users or Vendors
Users and Vendors may not assign or transfer their rights or obligations without AfroBookings’ prior written consent.
Any unauthorized assignment is void.
21.3 Business Continuity
AfroBookings may continue operations under a successor entity without interruption to Platform services.
22. MISCELLANEOUS LEGAL PROVISIONS
22.1 Severability
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
22.2 No Waiver
Failure by AfroBookings to enforce any provision does not constitute a waiver of its rights.
22.3 Entire Agreement
This Agreement constitutes the entire agreement between AfroBookings and Users/Vendors and supersedes all prior understandings, policies, or agreements.
22.4 Relationship of the Parties
Nothing in this Agreement creates any partnership, employment, or agency relationship except as expressly stated.
23. NOTICES & COMMUNICATIONS
23.1 Electronic Communications
By using the Platform, Users and Vendors consent to receive all communications from AfroBookings electronically, including but not limited to:
Booking confirmations
Payment notices
Policy updates
Legal notices
Customer service communications
Such communications may be delivered via:
Platform notifications
SMS or messaging tools (where applicable)
Website postings
Electronic communications satisfy any legal requirement for written notice.
23.2 Responsibility to Maintain Accurate Contact Information
Users and Vendors are responsible for maintaining accurate and current contact details.
AfroBookings shall not be liable for missed notices due to:
Outdated email addresses
Spam filtering
Delivery failures outside its control
23.3 Legal Notices
Formal legal notices to AfroBookings must be sent in writing to the contact details listed in PART 25 (Contact Information) below, unless otherwise stated.
24. AMENDMENTS & PLATFORM CHANGES
24.1 Right to Modify Agreement
AfroBookings reserves the right to amend, update, or replace this Agreement at any time to reflect:
Changes in law or regulation
Platform functionality updates
Business model or service expansions
Security or risk management requirements
24.2 Effective Date of Changes
Updated versions become effective upon publication on the Platform unless stated otherwise.
Continued use of the Platform after updates constitutes acceptance of the revised Agreement.
24.3 Material Changes
Where required by law, AfroBookings may provide advance notice of material changes; however, continued use remains conditional on acceptance.
25. LANGUAGE & INTERPRETATION
25.1 Governing Language
This Agreement is drafted in English, which shall be the controlling and legally binding language.
Any translations are provided for convenience only.
In the event of conflict, the English version prevails.
25.2 Interpretation Against Drafter
The rule of interpretation that ambiguities be construed against the drafter does not apply to this Agreement.
